Concrete CT Claim Terms

Effective Date: September 29, 2026

These CT Claim Terms (the “Claim Terms”) govern your claim of the Concrete token (“CT”) through the claim interface made available through https://concretefoundation.xyz/ (the “Claim Interface” and such claim, the “CT Claim”). These Claim Terms are a binding contract between you and CONCRETE NETWORK, LTD., a British Virgin Islands business company (“CNL,” “we,” “us” and “our”). CNL is the issuer of CT and is responsible for the minting and initial distribution of CT. CNL is also the person seeking admission of CT to trading under Regulation (EU) 2023/1114 (“MiCAR”). The crypto-asset MiCAR White Paper for CT (the “White Paper”) is available at https://concretefoundation.xyz/. These Claim Terms govern your use of the Claim Interface and any CT Claim and, except as provided in the next sentence, control in the event of any conflict with any other agreement or terms, including the Concrete Terms of Use (as defined below). If you have entered into a separate written agreement with CNL or one of its affiliates regarding CT (an “Existing Agreement”), that Existing Agreement governs your entitlement to CT, including any vesting, lock-up or transfer restrictions, and controls in the event of any conflict with these Claim Terms.

These Claim Terms are a binding contract between you and CNL and by selecting an acceptance control presented with the CT Claim, connecting your Wallet (as defined below) for the purpose of claiming CT, or initiating a CT Claim transaction, you acknowledge that you have read, understood and agree to be bound by these Claim Terms. If you do not agree to these Claim Terms, you must not connect your Wallet, initiate a CT Claim or accept a control presented with the CT Claim.

Your use of the Foundation Site, including the Claim Interface, and the broader Concrete services is separately governed by the Concrete Terms of Use available at https://concrete.xyz/terms (the “Concrete Terms of Use”). Capitalized terms used but not defined in these Claim Terms shall have the meanings set forth in the Concrete Terms of Use. CNL is not a party to that broader Services relationship solely by virtue of these Claim Terms. CT claimed under these Claim Terms is not a Native Concrete Reward or a Protocol-Generated Reward under the Concrete Terms of Use. Your use of CT after a completed claim, including any staking or Vault activity through app.concrete.xyz, may be subject to the Concrete Terms of Use, applicable Vault Terms and other terms presented for that activity, and by engaging in any such usage, you hereby agree to be bound by such applicable terms.

PLEASE READ THESE CLAIM TERMS CAREFULLY. THEY INCLUDE IMPORTANT INFORMATION ABOUT ELIGIBILITY, JURISDICTIONAL RESTRICTIONS, WALLET AND BLOCKCHAIN RISKS, LIMITATIONS OF LIABILITY AND BINDING ARBITRATION.

Who can claim CT?

The CT Claim is available only to Wallet addresses included on the CT eligibility and allocation list established for the initial distribution of CT (the “Eligibility List”). Inclusion of a Wallet address on the Eligibility List and the allocation associated with that Wallet are determined under the applicable CT distribution criteria. Eligibility is tied to the listed Wallet address and may not be transferred to another Wallet or person without CNL’s prior written approval.

CNL may, without limiting CNL’s other rights or remedies, deny, pause or correct an uncompleted CT Claim if CNL reasonably determines that the CT Claim involves a manifest allocation or technical error, a duplicate or fraudulent claim, sanctions or jurisdictional restrictions, circumvention of eligibility controls, or another legal or security issue. CNL may request information reasonably necessary to verify eligibility or comply with applicable law and regulations.

You must be at least eighteen (18) years old to use or interact with the Claim Interface in any manner and you represent and warrant that you are an individual of legal age to form a binding contract and have legal capacity to enter into these Claim Terms. If you are agreeing to these Claim Terms or making a CT Claim on behalf of an organization or entity, you represent and warrant that you are authorized to agree to these Claim Terms on that organization’s or entity’s behalf and bind them to these Claim Terms (in which case, the references to “you” and “your” in these Claim Terms, except for in this sentence, refer to that organization or entity) and have authority to bind that entity in connection with any CT Claim.

Where can I participate in the CT Claim?

You are not eligible to participate in the CT Claim if you are located in or a habitual resident of a jurisdiction identified as restricted for the CT Claim (a “Restricted Jurisdiction”). The current Restricted Jurisdictions are identified at https://docs.concrete.xyz/restricted-jurisdictions/ and may be updated in line with changes to applicable law and regulation, and the eligibility rules for the distribution of CT.

You represent and warrant that you are not, and are not owned or controlled by or acting on behalf of or for the benefit of, any person that is the subject or target of sanctions administered or enforced by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”), the United Nations Security Council, the European Union, His Majesty’s Treasury of the United Kingdom (including as extended to the British Virgin Islands), or any other applicable sanctions authority.

The Claim Interface uses jurisdictional controls, including IP-based geoblocking, and Wallet screening against sanctions and blockchain-risk indicators. You represent and warrant that you will not use a VPN, proxy, mixer, false location information or any other tool or arrangement to bypass or attempt to bypass those controls. CNL may block or reject a claim that triggers applicable eligibility, sanctions, fraud or risk controls.

How does the CT Claim work?

To make a CT Claim, you must connect a compatible digital asset wallet that you own and control (a “Wallet”) to the Claim Interface. The Claim Interface uses third-party distribution infrastructure provided by Merkl to identify the allocation associated with an eligible Wallet and facilitate the applicable on-chain claim transaction. Concrete Foundation hosts the Claim Interface as a front end and CNL is the issuer and distributing party under these Claim Terms.

The applicable CT Claim period and any CT Claim deadline will be displayed in the Claim Interface. A CT Claim is completed only when the relevant on-chain transaction is successfully confirmed. If you do not complete a CT Claim within the applicable CT Claim period, the relevant allocation of CT may cease to be claimable, and CNL may revoke access to or otherwise deal with any unclaimed CT allocation as it determines. CNL may, at its option, but has no obligation except as expressly required by applicable law or regulation to, extend a CT Claim period, provide an alternative CT Claim method or reissue a CT allocation after the applicable deadline.

No purchase price, payment, service, promotional activity or other consideration is payable or provided by you to CNL as part of the CT Claim, and CNL does not accept any such consideration from you in exchange for processing the claim. For the avoidance of doubt, gas fees, network fees and taxes that you pay to third parties are not consideration to CNL. If your CT allocation is governed by an Existing Agreement, any consideration, services or other obligations associated with that allocation are governed solely by that Existing Agreement and are not created or modified by these Claim Terms.

Except as expressly provided in an Existing Agreement, you hereby acknowledge, represent and warrant that CNL does not promise or guarantee you CT prior to your Wallet being included on the Eligibility List and that you do not rely on any website, dashboard, points system, leaderboard, social media post or third-party statement as creating a contractual entitlement to CT.

CNL may, to the extent operationally possible and permitted by applicable law or regulation, pause or suspend a CT Claim for legal, sanctions, security, fraud, smart-contract or other technical reasons. Where applicable law or regulation does not require notification, such pauses or suspensions may be implemented without notice. On-chain transactions that have already been validly confirmed generally cannot be reversed.

What are my Wallet responsibilities?

You represent and warrant that you are the lawful owner or authorized controller of the Wallet used for any CT Claim. You are solely responsible for safeguarding your private keys, seed phrases, passwords and other Wallet credentials. You acknowledge and agree that CNL, Concrete Foundation and their service providers do not control your private keys and cannot recover a lost or compromised Wallet.

You are responsible for confirming that your Wallet is compatible with the supported blockchain network and CT. You bear the risk of lost credentials, compromised Wallets, unsupported or custodial Wallets, network congestion, failed or incorrectly signed transactions and other errors or failures outside CNL’s reasonable control. CNL is not required to replace CT that is lost, stolen, sent incorrectly or rendered inaccessible as a result of your Wallet or transaction activity.

What about Merkl and other third-party infrastructure?

The CT Claim relies on third-party technology and infrastructure, including Merkl, Wallet providers, blockchain networks, RPC or node providers, analytics providers and sanctions-screening providers. These third parties are not parties to these Claim Terms. You acknowledge and agree that the products and services offered by the aforementioned service providers may be subject to their own terms and privacy notices.

You acknowledge and agree CNL does not control and does not guarantee the availability, security, accuracy or performance of third-party infrastructure or the underlying blockchain network. Bugs, exploits, outages, congestion, forks, upgrades, failed transactions or other third-party or network events may delay or prevent a CT Claim, or access to the Claim Interface. To the fullest extent permitted by applicable law, CNL hereby disclaims all liability and shall not be responsible for any losses or liabilities resulting from any such events except solely to the extent directly caused by CNL’s fraud or willful misconduct.

What should I understand about CT and the CT Claim?

A CT Claim is an initial distribution of CT to eligible Wallets. Claiming CT does not itself entitle you to any yield, return, dividend, revenue share, market price, exchange listing, liquidity, governance outcome or future functionality. CT does not confer ownership, equity, debt, dividend, profit-sharing or claim rights over CNL, Concrete Foundation, the Concrete protocol, protocol revenues, the protocol treasury or any underlying assets, and CT holders do not receive a share of protocol fees, revenues or earnings. CNL does not guarantee that CT will maintain any particular value or that any market for CT will be available or liquid. You acknowledge and agree that the handling and transaction of Digital Assets may be volatile. CT may lose its value in part or in full, may not always be transferable and may not be liquid, and is not covered by any investor compensation scheme or deposit guarantee scheme.

NOTHING IN THESE CLAIM TERMS OR ON THE CLAIM INTERFACE CONSTITUTES LEGAL, TAX, FINANCIAL OR INVESTMENT ADVICE, OR AN OFFER TO SELL OR A SOLICITATION OF AN OFFER TO BUY CT OR ANY SECURITY. THE WHITE PAPER CONTAINS THE INFORMATION ABOUT CT REQUIRED UNDER MICAR. THESE CLAIM TERMS GOVERN THE MECHANICS OF THE CT CLAIM AND DO NOT AMEND OR REPLACE THE WHITE PAPER. NOTHING IN THESE CLAIM TERMS LIMITS, RESTRICTS OR EXCLUDES ANY RIGHTS OR REMEDIES AVAILABLE TO YOU UNDER MICAR OR OTHER APPLICABLE MANDATORY LAW. CNL DOES NOT PROVIDE ANY VIRTUAL ASSETS SERVICE OR INVESTMENT BUSINESS SERVICE ON YOUR BEHALF IN CONNECTION WITH THE CT CLAIM.

What about taxes and privacy?

You are solely responsible for determining and satisfying any tax, reporting or other legal obligations arising from your receipt, holding, transfer or disposition of CT. Tax treatment varies by jurisdiction, and CNL does not provide tax advice.

The collection and handling of Personal Data in connection with any CT Claim or your use or interaction with the Claim Interface is subject to and as described in the Concrete Privacy Policy, including, without limitation, with respect to eligibility screening, Wallet addresses, IP/geolocation information, claim and transaction data, sanctions and blockchain-risk screening, and third-party claim infrastructure.

What if the CT Claim is unavailable or terminated?

To the fullest extent permitted by applicable law and regulation, CNL may suspend, restrict or terminate your access to the Claim Interface or any CT Claim at any time in its sole discretion, including, without limitation, if CNL reasonably determines that you have breached these Claim Terms, are ineligible, present a legal, sanctions, security or fraud risk or if suspension or termination is required by applicable law or regulation or a governmental or regulatory authority. CNL may also suspend or discontinue the CT Claim generally where necessary for legal, security or technical reasons.

Suspension or termination does not affect provisions that by their nature should survive, including, without limitation, provisions relating to Wallet responsibility, warranties, taxes, disclaimers, limitations of liability, indemnification, governing law and dispute resolution.

What else do I need to know?

Warranty Disclaimer. ALL CT CLAIMS, THE CLAIM INTERFACE AND RELATED TECHNOLOGY ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CNL HEREBY DISCLAIMS (FOR ITSELF AND ON BEHALF OF ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SUPPLIERS AND SERVICE PROVIDERS) ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY AND ERROR-FREE OPERATION. CNL DOES NOT WARRANT THAT YOU WILL BE ABLE TO COMPLETE A CT CLAIM OR THAT THE CLAIM INTERFACE OR ANY THIRD-PARTY SERVICE OR BLOCKCHAIN NETWORK WILL OPERATE WITHOUT INTERRUPTION OR ERROR.

Limitation of Liability. NOTHING IN THESE CLAIM TERMS LIMITS, RESTRICTS OR EXCLUDES ANY RIGHTS OR REMEDIES AVAILABLE UNDER MiCAR OR OTHER APPLICABLE MANDATORY LAW. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CNL AND ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, LICENSORS, SUPPLIERS AND SERVICE PROVIDERS, WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, DATA, BUSINESS, GOODWILL OR USE, ARISING OUT OF OR RELATING TO THE CT CLAIM, THE CLAIM INTERFACE, CT OR THESE CLAIM TERMS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CNL’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE CT CLAIM OR THE SUBJECT MATTER OF THESE CLAIM TERMS WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS (US $100).

Indemnity. To the fullest extent permitted by applicable law, you hereby agree to indemnify, defend and hold harmless CNL and its affiliates, and their respective directors, officers, employees, agents and contractors, from claims, losses, liabilities and reasonable expenses arising from your use of the Claim Interface and any breach of these Claim Terms, including, without limitation, your circumvention or attempted circumvention of eligibility or sanctions controls, or your violation of applicable law in connection with a CT Claim.

Governing Law and Arbitration. These Claim Terms are governed by the laws of the British Virgin Islands, without regard to conflicts-of-law principles. The parties will first use reasonable efforts to resolve any dispute arising out of or relating to these Claim Terms or the CT Claim through good-faith discussions. Any dispute not resolved within thirty (30) days after written notice will be finally resolved by binding arbitration administered by the BVI International Arbitration Centre (“BVI IAC”) under the BVI IAC Arbitration Rules then in effect. The seat of arbitration will be the British Virgin Islands, the arbitration will be conducted in English by a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction. Either party may seek interim or injunctive relief from a court of competent jurisdiction in aid of arbitration.

Assignment. You may not assign or transfer these Claim Terms or your rights or obligations under them without CNL’s prior written consent. CNL may freely assign these Claim Terms.

Entire Agreement; Relationship to Other Terms. These Claim Terms, together with the Concrete Privacy Policy and any claim-specific information expressly presented on the Claim Interface, and subject to any Existing Agreement, constitute the agreement between you and CNL regarding the CT Claim. The Concrete Terms of Use separately define certain capitalized terms used herein and govern your use of the applicable websites, application, Vaults and other Services. If there is a conflict between these Claim Terms and the Concrete Terms of Use with respect to the Claim Interface or any CT Claim, these Claim Terms control.

Changes. CNL may update these Claim Terms where reasonably necessary to reflect changes to the CT Claim, applicable law, security requirements or third-party infrastructure. Updated Claim Terms will be posted through the Claim Interface or otherwise made available before they apply to a new claim. Changes will not alter a completed on-chain claim retroactively except to the extent required by applicable law.

Severability; No Waiver. If any provision of these Claim Terms is held invalid or unenforceable, it will be limited or eliminated to the minimum extent necessary and the remaining provisions will remain in effect. A failure to enforce any provision is not a waiver of that provision or any other right.
